1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Obelus Labs LLC ("Company," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of the Guardian platform, including the desktop application, mobile application, API, website, and all related services (collectively, the "Service").
By creating an account, downloading our applications, accessing our API, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you:
- Are at least 18 years old and have the legal capacity to enter into these Terms;
- Are not prohibited from using the Service under the laws of your jurisdiction;
- Will not use the Service for any unlawful purpose, including but not limited to market manipulation, insider trading, fraud, or money laundering;
- Will provide accurate, current, and complete information during registration.
3. Description of Service
Guardian is a market threat detection and intelligence platform covering both cryptocurrency and equity securities. The Service monitors over 250 assets — including 53 cryptocurrency assets and 200+ stocks across all 11 GICS sectors — using a proprietary 7-signal weighted fusion engine that analyzes whale activity, social sentiment, price action, volatility, funding rates and institutional flows, volume anomalies, and trap detection patterns.
The Service provides:
- Threat scores on a scale of 0 (Safe) to 4 (Critical) for both crypto and equity assets;
- Real-time and delayed push notifications and alerts;
- Historical backtesting capabilities for both crypto and equity markets (Sentinel tier);
- API access for programmatic data retrieval (Sentinel tier);
- Cross-platform access via desktop (Electron), mobile (iOS/Android), and Telegram.
The Service is designed to provide informational data and analysis only. Guardian does not execute trades, manage portfolios, custody assets, or connect to your exchange accounts, brokerage accounts, or wallets in any way.

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING CONTAINED IN THE SERVICE CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF PROFESSIONAL ADVICE. OBELUS LABS LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, FINANCIAL ANALYST, FINANCIAL PLANNER, OR SECURITIES PROFESSIONAL UNDER ANY FEDERAL OR STATE LAW, INCLUDING THE INVESTMENT ADVISERS ACT OF 1940, THE SECURITIES ACT OF 1933, OR THE SECURITIES EXCHANGE ACT OF 1934. GUARDIAN IS NOT REGISTERED WITH THE SEC, FINRA, CFTC, OR ANY STATE SECURITIES REGULATORY AUTHORITY.
You expressly acknowledge and agree that:
- All threat scores, alerts, signals, and data provided by the Service — for both cryptocurrency and equity securities — are for informational purposes only and should not be construed as recommendations to buy, sell, hold, or otherwise transact in any cryptocurrency, stock, security, or financial instrument;
- Past signal accuracy, backtesting results, and historical threat scores do not guarantee, predict, or indicate future performance or results;
- You are solely responsible for evaluating the merits and risks of any investment or trading decision you make, whether involving cryptocurrency or equity securities;
- You should consult with qualified financial, legal, and tax professionals before making any investment or trading decisions;
- Cryptocurrency markets are highly volatile, speculative, and risky — you could lose some or all of your invested capital;
- Equity markets carry inherent risks including but not limited to market risk, company-specific risk, sector risk, and liquidity risk — you could lose some or all of your invested capital;
- The Company has no fiduciary duty to you and assumes no responsibility for your investment or trading decisions;
- No information provided through the Service should be interpreted as an assurance that any particular outcome or result will occur.
5. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information;
- Maintain the security of your password and account credentials;
- Promptly notify us of any unauthorized use of your account;
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain false information or that we reasonably believe are being used in violation of these Terms.
6. Subscription Plans and Payment
6.1 Pricing Tiers
The Service is offered under the following subscription tiers:
- Scout (Free): 5 crypto assets + 5 stock tickers, delayed alerts, basic threat levels;
- Guardian Pro ($19/month): All crypto assets OR all stock tickers (choose one market), real-time push alerts, full fusion engine, cross-platform sync;
- Guardian Pro+ ($39/month): All crypto assets AND all stock tickers (both markets), real-time alerts, full fusion engine, cross-platform sync, priority support;
- Sentinel ($79/month): Everything in Guardian Pro+ plus full API access, backtesting for both crypto and equity markets, custom alert rules, historical data export, dedicated support.
Prices are in U.S. dollars and are subject to change. We will provide at least 30 days' advance notice of any price increases to existing subscribers.
6.2 Billing
Paid subscriptions are billed monthly in advance through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge the applicable subscription fee to your designated payment method on a recurring monthly basis.
6.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your paid features will remain active until the end of the current billing period;
- Your account will be downgraded to the Scout (Free) tier at the end of the billing period;
- No partial refunds will be issued for unused time within a billing period.
6.4 Refunds
All subscription fees are non-refundable except where required by applicable law. We do not provide refunds or credits for partial months of service, downgrade refunds, or refunds for months where you did not use the Service. In exceptional circumstances, refund requests may be considered on a case-by-case basis at our sole discretion.
6.5 Free Trial
We may offer free trials of paid plans from time to time. Unless you cancel before the trial period ends, your payment method will be charged the applicable subscription fee when the trial expires.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service;
- Use the Service to develop a competing product or service;
- Scrape, crawl, or use automated means to access the Service beyond the API access provided under the Sentinel tier;
- Redistribute, sublicense, or resell access to the Service or any data obtained through it;
- Use the Service to engage in market manipulation, insider trading, pump-and-dump schemes, wash trading, front-running, or any other fraudulent or illegal trading activity in either cryptocurrency or equity markets;
- Attempt to circumvent any rate limiting, access controls, or security measures;
- Share your account credentials with third parties or operate shared/pooled accounts;
- Transmit viruses, malware, or any other harmful code through the Service;
- Use the Service in any manner that violates applicable local, state, national, or international law, including federal and state securities laws.
8. API Terms (Sentinel Tier)
If you subscribe to the Sentinel tier and are granted API access:
- You must comply with all published rate limits and usage guidelines;
- API keys are for your use only and must not be shared or published;
- You may not use API data to build or contribute to a competing threat detection service;
- We reserve the right to revoke API access for abuse or violation of these Terms;
- API data is provided "as is" and subject to the same disclaimers as the rest of the Service;
- API data for equity securities is subject to exchange data licensing terms and redistribution restrictions.
9. Intellectual Property
The Service, including all software, algorithms, models, designs, text, graphics, interfaces, and all other content and materials (collectively, "Company IP"), is owned by Obelus Labs LLC and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (or internal business use for Sentinel subscribers).
"Guardian," "Obelus Labs," the Guardian logo, and all related names, logos, and slogans are trademarks of Obelus Labs LLC. You may not use these marks without our prior written consent.
10. Data Accuracy and Availability
While we strive to provide accurate and timely data, you acknowledge that:
- Cryptocurrency data is sourced from third-party APIs (including but not limited to OKX, CoinGecko, Etherscan, and CryptoPanic) and may contain errors, delays, or omissions;
- Equity market data is sourced from third-party financial data providers and exchanges and may contain errors, delays, or omissions. Stock data may be delayed by 15 minutes or more depending on your subscription tier and data provider licensing;
- Threat scores are generated by algorithmic models that are inherently imperfect and may produce false positives or false negatives;
- The Service may experience downtime, interruptions, or degraded performance due to maintenance, third-party API outages, server issues, or other factors;
- Equity market data is only available during market hours and may be limited during pre-market, after-hours, and holiday periods;
- We do not guarantee any specific level of accuracy, completeness, timeliness, or availability of the Service;
- Historical backtesting results are based on past data and are subject to look-ahead bias and other statistical limitations.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OBELUS LABS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, INVESTMENT LOSSES, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS APPLIES TO LOSSES FROM BOTH CRYPTOCURRENCY AND EQUITY SECURITIES TRADING.
Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (a) the total amount you paid to us in subscription fees during the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
You expressly agree that we shall have no liability whatsoever for any losses you incur as a result of investment or trading decisions made based on information provided by the Service, whether in whole or in part, and whether such decisions involve cryptocurrency, stocks, or any other financial instruments.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED;
- THE SERVICE WILL GENERATE PROFITABLE TRADING SIGNALS OR PREVENT FINANCIAL LOSSES IN EITHER CRYPTOCURRENCY OR EQUITY MARKETS.
13. Indemnification
You agree to indemnify, defend, and hold harmless Obelus Labs LLC and its officers, directors, members, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your violation of any applicable law or regulation, including federal and state securities laws;
- Any investment or trading decisions you make based on information from the Service, whether involving cryptocurrency or equity securities;
- Your infringement of any third party's rights;
- Any content or data you submit or transmit through the Service.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to the following circumstances:
- Violation of these Terms or any applicable law;
- Fraudulent, abusive, or illegal activity;
- Non-payment of subscription fees;
- Extended inactivity;
- At your request.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 9, 11, 12, 13, 15, and 16.

15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, or at a location mutually agreed upon by the parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Obelus Labs LLC.
15.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
16. General Provisions
16.1 Modification of Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days before they become effective. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.
16.2 Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.3 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Obelus Labs LLC regarding the Service and supersede all prior agreements, understandings, and communications.
16.4 Waiver
The failure of Obelus Labs LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.5 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
16.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, power outages, stock exchange outages or halts, or third-party API outages.
